What will we be covering:

  • Type and form: customer contracts are called loads of things: SaaS agreements; Ts and Cs; licence agreements. What are the differences and which is right for your business?

  • Making it binding: your customer needs to agree to the contract. How can you balance legal enforceability and user experience?

  • Content: what needs to be included in the contract? We will look at payments, cancellation and refunds; scope of services; limitation of liability; licences and assignments of intellectual property; termination; and boilerplate clauses.

  • No contract is an island: your customer contract is one of several documents, all of which inter-relate. We will touch on privacy documents; insurance; supplier agreements and SLAs.

  • Negotiating changes to your customer contract: what amendments are fine, and when do you need to worry?
